Panbridge is positioned to match suppliers (Advertisers) with qualified social-media creators (Influencers) for content-marketing campaigns. These Terms of Service ("Terms") govern your access to and use of: (i) the Panbridge website (https://www.buyer-service.com/） (the "Website"), (ii) the online Platform, and (iii) all other services and content provided by 【International Buyer Service Limited】 as described on the Website (collectively, the "Services").

By accessing, creating an account, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.

Panbridge为产品 / 品牌名称；法律签约主体为【國際采購商服務有限公司】。本服务协议（下称 “协议”）约束您对以下内容的访问与使用：(i) Panbridge 官网（https://www.buyer-service.com/）（下称 “网站”）；(ii) 线上平台；(iii) 网站所载由【國際采購商服務有限公司】提供的全部其他服务与内容（合称 “服务”）。

访问、注册账号、浏览或以其他方式使用本服务，即代表您确认已阅读、理解并同意受本协议约束。若您不同意本协议，请勿使用本服务。

Modifications and Superseding Terms｜协议修改与效力优先

These Agreements supersede previous online versions, except for separately signed written agreements addressing the same subject matter. Updates will be posted on the Website and take effect upon publication, unless a later effective date is stated.

本协议取代此前所有线上版本，但针对同一事项另行签署的书面协议除外。协议更新版本将发布于网站，发布即生效，若载明延后生效日期则以该日期为准。

Eligibility｜使用资格

You represent and warrant that: (i) you have reached the age of majority in your jurisdiction; (ii) if you use the Platform on behalf of an entity, you have authority to bind that entity; (iii) you will comply with these Terms and applicable law; and (iv) the information you provide is true, accurate, current, and complete.

您声明并保证：(i) 您已达到您司法管辖区的法定成年年龄；(ii) 若您代表企业实体使用本平台，您拥有代表该实体签约的授权；(iii) 您将遵守本协议及适用法律；(iv) 您提交的信息真实、准确、最新且完整。

Scope of Services (Influencer Marketing Only)｜服务范围（仅限达人营销）

The Services covered by these Terms consist only of the Influencer Marketing Platform—for matching advertisers ("Advertisers") with suitable creators ("Influencers") for social-media-based campaigns (each, a "Campaign"). Prior modules described in legacy materials (e.g., affiliate marketing, cold-email outreach, standalone AI agents) are not offered under these Terms.

本协议项下服务仅限达人营销平台：撮合广告主（下称 “广告主”）与合适创作者（下称 “达人”）开展社交媒体营销活动（单场下称 “营销活动”）。历史资料提及的其他模块（联盟营销、陌生邮件外拓、独立 AI 智能代理等）不在本协议服务提供范围内。

Advertiser Terms｜广告主条款

Campaign. A Campaign refers to activities related to Influencer content creation and publication sourced via the Platform based on Advertiser requirements. The specific scope, deliverables, timing, and budget are as shown in the Campaign Information you accept on the Platform.

营销活动：营销活动指基于广告主需求，通过平台对接达人完成内容创作与发布的相关业务。具体业务范围、交付物、时间安排及预算，以您在平台确认接受的活动信息为准。

Advertiser Content. Advertiser shall provide accurate and complete promotional materials (logos, brand assets, product information, claims, samples, etc.). You grant 【Panbridge】 and assigned Influencers a global, non-exclusive, royalty-free license to use such materials solely to perform the Campaign across applicable channels and services. You represent and warrant you have full rights to authorize such use and that all materials and claims are lawful and compliant.

广告主素材：广告主应当提供准确完整的推广物料（Logo、品牌素材、产品资料、宣传表述、样品等）。您授予【Panbridge】及对接达人一项全球、非独占、免许可费的使用权，仅用于在对应渠道及服务中完成本次营销活动。您声明并保证，您拥有授权该等使用的全部权利，全部物料及宣传表述合法合规。

Promotion Services. You may initiate and manage Campaigns via the Platform. Each Campaign’s pricing, rules, and billing model are displayed on the Platform interface and incorporated by reference. By initiating a Campaign, you agree to any Campaign-specific terms referenced in the interface and to the Promotion Service Framework Agreement in the appendix (if applicable).

推广服务：您可在平台发起并管理营销活动。每一场活动的定价、规则、计费模式均展示于平台界面，并纳入本协议约束。发起营销活动，即代表您同意界面载明的该活动专属条款以及附录《推广服务框架协议》（如有）。

Payment of Fees. The Platform supports: (i) prepaid wallet recharge; (ii) direct card binding; or (iii) hybrid payment. Influencer Marketing fees are charged per accepted deliverable/milestone and/or according to the Campaign budget as displayed on the Platform. You authorize 【Panbridge】 and its payment processors to charge applicable fees and agree to the processor’s terms. 【Panbridge】 may suspend services if payment fails or is not updated. Additional platform terms regarding taxes, refunds, bonus credits, and withdrawals (where offered) are set forth on the Platform and/or in the appended Promotion Service Framework Agreement.

费用支付：平台支持：(i) 钱包预充值；(ii) 直接绑卡支付；(iii) 混合支付模式。达人营销费用按照已确认交付物 / 节点，和 / 或平台展示的活动预算进行计收。您授权【Panbridge】及其支付服务商扣取对应费用，并同意支付服务商的服务条款。若支付失败或未完成支付更新，【Panbridge】可暂停服务。税费、退款、平台赠金、提现（如开放）的补充规则，详见平台页面和 / 或附录《推广服务框架协议》。

License Grants｜授权许可

To you. Subject to these Terms, 【Panbridge】 grants you a personal, revocable, non-exclusive, non-transferable license to access and use the Platform and Services.

授予您的许可：在遵守本协议前提下，【Panbridge】向您授予个人的、可撤销、非独占、不可转让的许可，供您访问及使用平台与服务。

To us. Subject to these Terms, you grant 【Panbridge】 a worldwide, royalty-free, sublicensable license to access, collect, store, and use the content and data you upload to the Platform ("User Content") solely for: (A) providing the Services (including Campaign operations, analytics, and reporting), (B) complying with law, and (C) 【Panbridge】’s reasonable audit and data-retention policies.

您授予我方的许可：在遵守本协议前提下，您授予【Panbridge】全球范围、免许可费、可转授权的许可，用于访问、收集、存储、使用您上传至平台的内容与数据（“用户内容”），仅限用于：(A) 提供本服务（包括营销活动执行、数据分析、报告输出）；(B) 遵守法律要求；(C)【Panbridge】合理审计与数据留存制度所需。

Ownership｜知识产权归属

All content provided or displayed through the Platform, including designs, infrastructure, graphics, software, artwork, names, logos and marks (collectively, the "Platform Content"), is owned or licensed by 【Panbridge】 and protected by intellectual-property laws. Except for the limited license above, no rights are granted to you.

平台提供或展示的全部内容，包括设计、系统架构、图形、软件、美术作品、名称、Logo 及商标（合称 “平台内容”），均归【Panbridge】所有或取得合法授权，受知识产权法律保护。除上述有限许可外，未向您授予任何其他权利。

Registration and Account｜注册与账号

To access the Services you must register an account ("Account"). You agree to: (a) provide accurate, current and complete Account information; (b) maintain the security of your credentials; and (c) promptly notify support@panbridge.com of any suspected breach. 【Panbridge】 may disable or suspend your Account at its discretion for risk or violations.

使用本服务需要注册账号（下称 “账号”）。您同意：(a) 提供真实、最新、完整的账号信息；(b) 保管好账号凭证安全；(c) 如发现疑似账号泄露，立即通知 support@panbridge.com。如存在风险或发生违规，【Panbridge】可自行决定禁用或暂停您的账号。

Term and Termination｜协议期限与终止

【Panbridge】 may terminate your Account or access to the Services at any time for violations of these Terms, unlawful activity, or risk to the Platform. Termination does not affect accrued rights or obligations. If termination is due to your violation, you may forfeit funds or credits in your account as permitted by law and the applicable Platform rules.

如发生违反本协议、违法行为或对平台造成风险，【Panbridge】可随时终止您的账号或服务访问权限。协议终止不影响终止前已产生的权利与义务。若因您方违规导致终止，在法律及平台规则允许范围内，您账号内的资金或赠金可能不予退还。

Please refer to our Privacy Policy (Panbridge) for how 【Panbridge】 collects, uses, and discloses personal information.

Prohibited Use｜禁止行为

You shall not use the Platform to: (a) circumvent access controls or security; (b) overload or interfere with operations; (c) infringe IP or legal rights; (d) submit fraudulent, harmful, or misleading content; (e) scrape or harvest data without permission; or (f) violate applicable social-network rules when performing Campaigns. 【Panbridge】 may suspend access and pursue remedies for prohibited activity.

您不得利用平台实施以下行为：(a) 绕过访问控制或安全机制；(b) 制造过载、干扰平台正常运行；(c) 侵犯知识产权或其他合法权利；(d) 提交欺诈、有害、具有误导性的内容；(e) 未经许可爬取、批量采集数据；(f) 执行营销活动时违反对应社交平台规则。发生禁止行为时，【Panbridge】可暂停访问权限并采取相应救济措施。

Third-Party Websites and Services｜第三方网站与服务

The Platform may contain links or integrations to third-party sites or tools. 【Panbridge】 is not responsible for the availability, content, or practices of such third-party resources.

平台可能包含第三方网站、工具的链接或集成。【Panbridge】不对该类第三方资源的可用性、内容及业务规则承担责任。

No Confidentiality of Communications｜沟通信息保密提示

While 【Panbridge】 endeavors to protect information, it cannot guarantee the confidentiality of communications submitted through the Platform. Please do not submit information you consider highly sensitive except where expressly requested and protected.

【Panbridge】会尽力保护信息安全，但无法保证经由平台传递的沟通信息绝对保密。除非平台明确要求且具备保护机制，请不要提交高度敏感信息。

Disclaimer of Warranties｜担保免责

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” 【Panbridge】 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ERROR-FREE SERVICE, UNINTERRUPTED ACCESS, OR SPECIFIC CAMPAIGN PERFORMANCE.

本服务按 “现状” 及 “可获取状态” 提供。【Panbridge】不作出任何明示或默示担保，包括适销性、特定用途适用性、不侵权的担保。我方不保证服务零错误、访问不间断，亦不保证营销活动可达成特定效果。

Limitation of Liability｜责任限制

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 【Panbridge】 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. IN ANY EVENT, 【Panbridge】’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO 【Panbridge】 FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

在法律允许最大范围内，对于因使用本服务产生或与本服务相关的任何间接、附带、特殊、衍生、惩罚性赔偿，以及利润、营收、数据、商誉损失，【Panbridge】不承担责任。无论何种情形，【Panbridge】全部赔偿责任总额，不超过引发责任事件发生前，您向【Panbridge】支付的最近三个月服务费用总额。

Indemnification｜赔偿保证

You agree to defend, indemnify, and hold harmless 【Panbridge】 and its employees, agents, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your infringement of third-party rights.

如因您使用本服务、违反本协议、侵害第三方权利而产生索赔、损害、责任、成本及开支（含合理律师费），您同意为【Panbridge】及其员工、代理人、关联方进行抗辩、赔偿并使其免受损失。

Governing Law and Jurisdiction｜适用法律与管辖

These Terms are governed by the laws of Hong Kong SAR. Any disputes shall be resolved in the courts of Hong Kong SAR, unless a different venue is required by applicable law.

本协议适用中华人民共和国香港特别行政区法律。除非适用法律强制要求其他管辖地，一切争议由香港特别行政区法院管辖。

Entire Agreement and Severability｜完整协议与可分割性

These Terms constitute the entire agreement between you and 【Panbridge】 regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full force and effect.

中文翻译 本协议构成您与【Panbridge】就本服务达成的完整协议。如本协议任一条款被认定不可执行，其余条款继续完整有效。
